We are currently looking to recruit for a Legal Counsel (m/f)

at our location in Berlin

This position will have a focus on PPPs and Project Finance, supporting the preparation, approval, submittal and negotiation of proposals for PPP and turnkey / “complex” projects worldwide. At the same time, as Legal Counsel GRP Contracts, the candidate will govern the (PPP / complex projects) bid activities of the Regions/ Divisions from a legal point of view.

The candidate is an experienced lawyer in a transactional area such as projects and PFI/PPP as well as perhaps someone with a corporate or construction background or perhaps currently working within a project finance team with some key exposure to big ticket projects work. Ideally, a good range of experience has been gained in infrastructure project related work, during the candidate’s career to date at private practice or in-house. She / he will be technically excellent but equally important, commercially aware and enthusiastic about business development. The candidate will be a team player with a strong business acumen.

As an inhouse lawyer, part of the job is also a comprehensive analysis of the risks that the terms and conditions for the underlying project create and the development of risk mitigation strategies. This review is part of the company’s bid governance policy and it is embedded in cross-functional (technical, financial, commercial) reviews of bids. The scope of work comprises bids with high complexity and up to BT President and Bombardier Inc. approval levels.

YOUR TASKS:

- Solid transactional experience (financing/ construction/ project development)
- Experience of working on project agreements, including some or all of: PPP / PFI, financing documents, DB / EPC contracts and O&M agreements.
- Strong and keen interest in complex files.
- Familiarity with, and willingness to negotiate some aspects of, core project finance documents (noting that specialist support will be available from separate finance team).
- Travel, sometimes for a few weeks at a time, is a requirement of this role.
- Strong communicator, as the project teams are typically located in various countries around the world.

PPP / Complex bids:

• Lead the overall legal bid activities for a PPP / complex bid, which includes coordination of and guidance to Regional / Divisional legal counsels involved in the transaction (who typically work on DB/EPC and O&M).

• Review and negation of the project agreements, with a focus on the SPV / financing agreements

• Review and negotiation of teaming agreements (incl. memorandum of understandings, consortium/ partnership agreement, shareholders’ agreement)

• The legal review and negotiations include: Identify issues or gaps; support of the business through development of optimized contractual solutions with an acceptable risk profile whilst supporting selling strategies; develop comprehensive risk analysis (incl. assessment of commercial impact) and mitigation strategy; provide benchmarking; verify cross-functional alignment of all disciplines that are involved in bid preparation and bid governance; provide of mandate recommendation to GRP/CORP top management.

• Interaction with the various disciplines/functions involved in the bid process (Structured Finance, bid management, Finance, Project Management, Tax etc.) on all cross-functional aspects.

• Review of and obtaining CORP approval of project securities (PCGs, bank bonds, surety bonds).

SPECIFICS:

• Selective bids across the product portfolio with high complexity and significant challenges.

• Delegated with regular advising and supporting by the Head of GRP Contracts.

Know-How and Processes:

Qualifikationen

- University degree in law with an above-average exam and, preferably, a focus on contract or business law.
- Ideally, admitted to the bar.
- Additional qualifications (e.g. master degree, PHD, specialist certification) would be an asset.
- At least 3 years of experience in an international law firm or in a comparable role in-house.
- Ideally has some understanding of infrastructure or rolling stock business.
- Provides autonomously innovative solutions to problems with high complexity.
- Demonstrates strong communication and diplomacy skills and the ability to guide, influence and convince others.
- Fluency in English is essential for the job
