Join us as a Legal Counsel in Mannheim, Germany.

You are a fully qualified German Lawyer (Volljurist) with excellent credentials, knowledge of contract law and sound legal expertise including Public Procurement law, Competition law and general Contract law, gained by 4 – 7 years of experience from working with a private law firm with a focus on (international) contract law or as in-house contract lawyer in a commercial or industrial company. You take responsibility for the management of a variety of contracts and legal matters. You can negotiate and draft in either German and/or English Further language skills as well as an additional university degree (e.g. LL.M.) or any other profound experience within an international context is a strong advantage.

In your function in the department ‘Contracts & Legal Affairs’ in the CEI Business Unit, Product Line Locomotives you will be involved in all aspects of contractual matters relating to customers, suppliers, co-operation partners and public authorities associated with the rail vehicle business. This includes competitive bidding, contract drafting and negotiating, managing claims and supporting project management. You will be strongly involved in the internal bid approval process. Part of the daily work is to find and implement business oriented, reliable legal solutions and to fulfil a governance role in terms of compliance within a defined set of rules. You are expected to work closely with Engineering, Sales, Bids, Finance and Project Management and must be a strong team player both inter-disciplinarily and within the department as such. The ability to quickly comprehend technical and commercial circumstances is of utmost importance.

Due to the complexity of the legal tasks combined with an international legal team, open mindedness, resilience, creativity and excellent communication skills are prerequisites for the successful applicant. You are expected to show good leadership skills relating to material expertise excellence and to the supporting of complex processes.

You will be expected to be working proactively and with profound sense of urgency and responsibility for the business.

Your Tasks:

1. Bids:
- Pre-Bid Stage: Analyze the bidding documents (ITT, RFQ, RFP etc.) and identify issues; advice on bidding strategy & set-up; responsibility for bidding agreements (incl. memorandum of understanding and sales representative agreement).
- Bid Stage: Joint risk analysis and mitigation strategy for multi-functional issues & gaps with other functions, preparation of contract summaries and responsibility for the terms & conditions of the BT offer; responsibility for teaming agreements (consortium/partnership agreement, shareholders’ agreement) and key sub-supplier agreements.
- Preferred Bidder Stage: Negotiation of the supply & service agreements, securities (incl. parent company guarantees and bonds); responsible for public procurement law review procedures (defensive & offensive).

2. Projects, Claims & Litigation:
- Support to Project Management for commercial, contractual and claim aspects of customer, partner & supplier contracts.
- Responsibility for related and non-project related litigation (incl. court proceedings and alternative dispute resolution).
- Focus on potentially uncritical projects and selective critical projects.
- Delegated with advising or supporting by the Head of Contracts & Legal Affairs.

3. Corporate & Legal Affairs, Compliance:
- Provide compliance training to board members and other functions (incl. corporate law, anti-trust law, anti-corruption law).
- Responsible for knowledge management and development of tools.
- Manage engagement of external legal consultants.
- Delegated with occasional advising and supporting by the Head of Contracts & Legal Affairs.


Your Qualifications :

- University degree in law with an above-average exam and, preferably, a focus on business law;

- Additional qualifications (e.g. master degree, PhD, specialist certification, MBA) would be an asset;

- At least 4 years of experience working with a private law firm with a focus on (international) contract law or as in-house contract lawyer in a commercial or industrial company Experience with construction / industrial business environment is of benefit;

- Experience with Claim Management is of benefit;

- Fluent in English, knowledge of European Eastern language is a plus.
