•    Support three senior lawyers in various corporate legal functions, allowing you to be exposed to a wide variety of corporate legal matters. You will also work with junior lawyers, as well as articling or summer students, as the case may be.
•    Ensure that the activities of the Company are conducted in accordance with applicable laws, Company policies, good governance and business practices.
•    Participate in the negotiation, drafting, review, analysis and approval of various commercial agreements such as corporate guarantees, letters of credit facilities or surety documents, financing, banking and treasury operations related agreements.
•    Participate in the drafting, analysis and approval of various public-company disclosure documents such as annual information form, management proxy circular, ESG report, etc.
•    Manage the Company’s obligations with the TSX, securities commissions and other regulatory entities.
•    Participate in the preparation and planning of the annual meeting of the Company’s shareholders, and other shareholder-related events.
•    Support the Company’s issuance of debt and equity securities, including the drafting, analysis and approval of offering documents and related agreements.
•    Coordinate and work with external law firms.
•    Find practical business-oriented solutions to legal issues raised by various departments (Treasury, HR, Finance, etc.) and provide support with implementing these solutions.
•    Provide support related to meetings of the Board of Directors and other Board functions.
•    Provide support on various corporate reorganisations in various jurisdictions.
•    Provide support on litigation management and other commercial disputes.
•    Conduct research on various legal topics and prepare executive summaries.
•    Ensure adequate follow-up on various files submitted for analysis and recommendations.
 

How to thrive in this role?

•    You have a bachelor's degree in law.
•    You are a member of the Quebec Bar.
•    You have at least 10 years of relevant experience, ideally with a corporate and business law firm and/or a Canadian publicly-listed issuer or sophisticated national or international company.
•    You have strong writing skills and are at ease communicating in both English and French.
•    You distinguish yourself by your rigor, autonomy and initiative.
•    You are well organized, can manage several competing priorities and tight deadlines, and are comfortable performing in a very dynamic and changing environment.
•    You demonstrate sound business judgment.
•    You have great analytical and synthesizing skills.
•    You like the dynamic of teamwork and work well with others.
